RingCentral is looking for a Corporate Counsel for M&A and Partnerships with at least four years’ experience in negotiating M&A transactions and complex commercial transactions. This person will be the principal attorney in negotiating, closing, and supporting RingCentral’s M&A activities and its largest and most strategic partnerships across the globe. Candidates must have the ability to participate in a broad spectrum of deal types, from mergers and acquisitions to reseller arrangements with tier-1 telecommunications carriers to licensing deals with key technology providers. This attorney’s focus will be on mergers and acquisitions across the world and strategic transactions arising in North America. You will report directly to our Vice President of Legal, Partnerships in our Belmont, California headquarters.

This role is Hybrid, in office 30 days per quarter.

Responsibilities:

  • Work closely with RingCentral’s worldwide corporate development and M&A team on mergers and acquisitions across the world.
  • Work closely with RingCentral’s global service provider team on reseller partnerships and major transactions, particularly focused on transactions in North America.
  • Contract with technology providers, whose technology may be used and integrated into our products or white-labeled for resale by RingCentral.
  • Act as a legal-savvy, commercially-oriented advisor to M&A, business development, product, sales, accounting, tax, and finance colleagues.
  • Take a proactive approach in encouraging a culture of integrity and compliance.
  • Act as a fiduciary for the company while providing ongoing counsel to bring ideas that help to implement business strategy.
  • Contribute broadly to the leadership of the business, working effectively with senior management, and creating trusted advisor relationships with business leaders.
  • Support the legal department in leading the provision of a high quality and commercially-focused legal service to support the needs of the business.

Required Qualifications and Experience:

  • Must be a licensed attorney in good standing in at least one state of the United States.
  • At least four years’ experience as a deal or transactional lawyer at a top U.S. law firm or leading technology company, with at least two years’ experience in mergers and acquisitions.
  • Experience in structuring, negotiating, and drafting complex, technology-oriented M&A and commercial agreements with sophisticated counter-parties.
  • Experience in cloud-based services, technology licensing, and major commercial contracts.
  • A solid understanding of intellectual property, antitrust, tax, and privacy is helpful.

For California, the compensation range for this position is between $145,000 and $175,000 for full-time employees, in addition to eligibility for variable pay and benefits. The salary may vary depending on your location, skills, and experience.
