Senior Legal Counsel - Overview :

Our client, a leading company in the Energy industry, is seeking a highly experienced corporate attorney to join their legal team. This role focuses on ensuring SEC regulatory compliance, leading mergers and acquisitions, and supporting corporate transactions, including financing activities. The ideal candidate will have 4-10 years of experience in corporate law, with expertise in SEC compliance, M&A, and corporate governance.

Senior Legal Counsel - Key Responsibilities:

SEC Compliance:

• Oversee SEC filings (10-K, 10-Q, 8-K, proxy statements) and ensure compliance with regulatory requirements.
• Monitor changes in securities laws and provide guidance on corporate governance and disclosure practices.
• Ensure accurate public disclosures and support shareholder-related activities.

Mergers & Acquisitions (M&A):

• Lead legal due diligence, and draft and negotiate transaction documents for mergers, acquisitions, and divestitures.
• Collaborate with cross-functional teams and external counsel to execute M&A deals.
• Assist with post-transaction integration and compliance.

Corporate Legal & Financing:

• Provide legal support for corporate financing initiatives, such as securities offerings and capital-raising efforts.
• Advise on governance, corporate restructuring, and risk management.
• Draft and review key corporate documents, including agreements, contracts, and board resolutions.

Senior Legal Counsel - Qualifications :

• Education: Juris Doctor (JD) from an accredited law school and licensed to practice law.
• Experience: 4-10 years of experience in corporate law, specializing in SEC compliance, M&A, and financing.
• Skills: Strong legal drafting, negotiation, and communication skills, with deep knowledge of federal securities laws and corporate transactions.
