Position Title: Junior to Mid-Level Corporate Finance Associate Attorney

Job Overview: A prestigious law firm based in Chicago, IL, is seeking a skilled Junior to Mid-Level Corporate Finance Associate Attorney. This role offers an excellent opportunity for an ambitious attorney to handle a range of finance transactions for a diverse set of clients across multiple industries. The successful candidate will be integral to deal management, client interaction, and the delivery of high-quality legal services.

Duties:

  1. Represent lenders and borrowers in various finance transactions.
  2. Handle broadly syndicated credit facilities, acquisition financings, and private credit facilities.
  3. Draft, review, and revise critical legal documents, including credit agreements, debt commitment letters, and security agreements.
  4. Prepare and manage closing deliverables, such as secretary’s certificates, resolutions, legal opinions, schedules, and exhibits.
  5. Provide legal support to private equity sponsors and portfolio companies, as needed.
  6. Manage client relationships and oversee deal execution from start to finish.
  7. Collaborate effectively within a team-oriented environment to deliver top-tier legal services.

Requirements:

  1. 2-4 years of experience in finance or corporate law, particularly in finance transactions.
  2. Proficiency in representing both lenders and borrowers.
  3. Significant experience drafting and negotiating credit agreements and related documents.
  4. Experience with private equity sponsors and portfolio companies is a plus.
  5. Admission to one or more State Bars.

Education:

  1. A strong academic background with a Juris Doctor (JD) degree from an accredited law school.

Certifications:

  1. Admission to the Bar in at least one U.S. state.

  1. Superior drafting, negotiation, and analytical skills.
  2. Strong attention to detail and a proactive approach to deal management.
