Position Summary: In the position, your specific job functions will include: reviewing, negotiating and drafting purchase and sale, vendor, storage, transportation, consultant and other agreements, especially for business related to Latin American countries, including Ecuador, Peru, Chile, Argentina, Mexico, etc.; coordinating sophisticated dispute resolution strategies; advocating on behalf of the company in transaction disputes; studying and advising on legal matters and developments, especially legal developments in applicable Latin American countries; providing general support to the company’s trading and operations departments; assisting with insurance and loss control management; assisting with Know Your Customer and other compliance efforts related to counterparties in Latin American countries and other legal matters facing the company. This position may require travel to various Latin American countries.



Duties & Responsibilities


  • Drafts, reviews and negotiates various business and non-business contracts, with a special focus in Latin American countries;
  • Provides contract support for Mergers and Acquisition efforts, including review of target company contracts during legal due diligence and help draft and negotiate relevant agreements (e.g., merger, partnership, joint venture, etc.) with a special focus in Latin American countries;
  • Coordinating sophisticated dispute resolution strategies and advocating on behalf of the company in transaction disputes;
  • Studying and advising on current legal matters and developments with the law, especially those in Latin American countries;
  • Studying and analyzing on specific contractual issues or contract interpretation, and preparing relevant legal memo as required;
  • Assisting with commercial insurance and loss control management tasks;
  • Assisting with Know Your Counterparty and other compliance efforts related to counterparties in Latin American countries
  • Providing general support to the company’s trading and operations departments;
  • Responsible for consistent follow-up with internal clients and counterparties and detailed record keeping per company document management policy;
  • Provide trainings regarding to contracts, terms and conditions to relevant internal clients;
  • Performs miscellaneous duties, as instructed by Principal Legal Counsel.


Required Skills and qualifications

  • Capable of working in English and Spanish fluently
  • Currently licensed or eligible to be licensed to practice law in the United States, preferably in the states of Texas or New York, or licensed to practice in an applicable Latin America country
  • Prefer 5+ years of experience in a law firm or as in-house counsel in a corporate setting
  • Knowledge of the principles and procedures of the contracting process
  • Knowledge of general trading business practices and procedures
  • Knowledge of commodity business practices and procedures preferred
  • Sound knowledge of Incoterms 2000, 2010 and 2020, and international goods purchase and sale agreements
  • Possess exceptional legal reasoning, writing and contract drafting abilities, as well as strong negotiating and independent decision-making skills
  • Must be able to communicate effectively with executive and associate level employees both orally and in writing in Spanish and English
  • Strong interpersonal skills and mature judgment (e.g., the ability to work effectively with various divisions of the company including in-house attorneys and trading desks)


Education

  • Juris Doctor Degree from an accredited U.S. institution, or
  • LL.M from an accredited U.S. institution plus LLB degree from an accredited institution in a foreign country
