Holland & Hart’s corporate group is seeking a funds and investment management associate with at least three years of experience to join its team in the Boulder, Denver, or Reno office. This associate will work with sponsors of, and investors in, alternative investment funds (including venture capital, private equity, real estate, low-income housing, and hedge funds) and other investment vehicles in structuring, offering, management, investing, and related regulatory matters.
The incoming associate will advise clients on all aspects of the structuring, formation, and ongoing management of private investment funds and their respective management companies, as well as a broad cross-section of institutional investors actively investing into private investment funds. You will focus on all stages and types of private investment fund formations, including venture capital, growth equity, buyout, fund-of-funds, private credit, secondary, low-income housing, and non-traditional funds (e.g., feeder and access funds).

The ideal candidate will have strong experience with the establishment and representation of private investment funds, including venture capital, private equity, real estate, low-income housing, and hedge funds, and their advisers and/or investors. Experience with limited partnership and limited liability company agreements, U.S. federal and state securities matters, the Investment Advisers Act, the Investment Company Act, corporate opinions, representing institutional investors in private funds, secondary transactions, and structuring carry vehicles is also a plus. We seek candidates with immediately transferable skills and strong academic backgrounds.

Contributions to the life of the firm are vital to the collective success of the firm, and we encourage our lawyers to engage in ways each person finds meaningful through various committees and firm activities.
