POSITION OVERVIEW

JW Michaels & Co is engaged with a public financial services client looking to bring another lawyer onto their legal team as they expand due to company growth. Reporting to the General Counsel, this position will essentially be the GC’s right hand on all things and is the perfect role for someone who wants to learn how to be an in-house lawyer and public company General Counsel!


RESPONSIBILITIES

Responsibilities may include:

  • Corporate securities (all public company securities filings/reporting);
  • Prepare the company’s SEC filings and other public disclosure documents including 10Ks, 10Qs, 8Ks, Proxy Statements, Section 16 Reports and other SEC related documents;
  • Corporate governance (work with the Corporate Secretary, agendas, materials, minutes, resolutions, etc);
  • Support investor relations;
  • Provide legal support for corporate transactions including securities offerings, financings, investments, acquisitions, divestitures, and other strategic transactions;
  • Complex Legal Topics: Translate complex legal concepts into plain language for stakeholders, ensuring clarity and understanding across the organization.
  • Compliance & Risk Management: Identify and mitigate legal risks, ensuring compliance with applicable laws and regulations.
  • Cross-functional Collaboration: Work closely with various departments to support business initiatives and provide legal insights.
  • Continuous Improvement: Develop and improve legal processes and templates to enhance efficiency and effectiveness
  • Other legal work as necessary.


"MUST HAVE" QUALIFICATIONS

  • Between 4 and 6 years of total practice experience and a demonstrably strong relevant focus
  • Strong SEC filings & public company corporate experience
  • J.D. from a top 50 US law school (or foreign equivalent)
  • Active law license (or ability to get one) in Texas;
  • between 4 and 6 years of total practice experience and a demonstrably strong relevant focus
  • Minimum 3+ years of relevant AmLaw100 firm training;
  • Great business, risk, and legal judgment and the ability to work flexibly with a variety of teams
  • Excellent communication (verbal and written) and drafting skills
  • Ability to work hard AND HAVE FUN!


Compensation will be commensurate with the market.
