Vigor LLC, a privately held company headquartered in Portland, Oregon, seeks an outstanding transactional lawyer. Vigor is the leading provider of shipbuilding, complex fabrication, and ship repair and conversion in the Pacific Northwest and Alaska. Position Summary
Vigor is seeking a Corporate Counsel to join its legal team and provide primary support to the company’s fabrication business unit, which is active in diverse industries such as aerospace, nuclear, infrastructure, and marine fabrication. The Corporate Counsel will be responsible for a range of legal matters affecting the business unit, including supporting complex projects/contracts, litigation management, claims processing, and compliance activities. This position reports to the Associate General Counsel but will be expected to work independently most of the time and with minimal direction.
Responsibilities

- Establishes strong, collaborative relationships with business unit teams and management and utilizes a very high level of independent business judgment and analytical skill to provide expert legal advice.
- Reviews and negotiates highly-complex terms of customer and supply-side contracts with input from senior management and company stakeholders.
- Assists in the development of claims, requests for equitable adjustment, and change order proposals. Reviews and advises on waivers/releases of liens/claims.
- Handles legal support of business unit response to show-cause, default, or termination notices and contract disputes with customers and suppliers.
- May have responsibility at the business unit level for directing lower-tier contracts professionals in solicitation review, contract formation, and contract management.
- Develops and maintains subject matter expertise on general and specialized areas of law pertinent to business unit, including construction law, government contracts law, export law, etc.
- Manages risks through counseling and practical application of the company’s policies and procedures. Balances risks against the company’s desire for flexible operational response and strategic objectives.
- Supports the values, ethics, and compliance activities of Vigor.
Requirements
- A Juris Doctorate Degree is required.
- Must be licensed to practice law in at least one US jurisdiction and be a bar member in good standing.
- Eligibility for a security clearance is desired.
- Minimum of four years of experience in government and commercial transactions is required and experience with a variety of contract types is desired (fixed-price, cost-reimbursement, T&M, incentive-fee, etc.). Experience representing subcontractors with respect to fixed-price construction contracts is highly desired.
- Knowledge of state and federal government acquisition practices and regulations (FAR, DFARS, etc.) is required and familiarity with ancillary regulatory requirements applicable to US defense contractors (ITAR, etc.) is desired.
- Must have excellent negotiation and dispute resolution skills and be able to establish rapport with team members and adverse parties.
- Must work independently and effectively manage, on short timelines, a large number of complex projects with multiple contributors.
- Must be detail-oriented and have solid organizational skills.
- Must be able to communicate complex information in a clear and simple manner, both verbally and in writing.

- Base pay for positions shall be set slightly below market.
- Base pay provided to individuals shall be determined in consideration of market data, internal equity, and overall job performance.
- Annual cash compensation, which includes base pay and incentive compensation bonus, shall be targeted to be above market when the Company’s overall financial performance has been positive.
