Corporate/M&A/Securities/Finance Transactional Attorney
We are an established law firm based in New York, NY seeking a seasoned Corporate/M&A/Securities/Finance Transactional Attorney. With at least 6 years of experience in corporate transactions, mergers & acquisitions, securities, and finance, the successful candidate will play a critical role in guiding our high-profile corporate clients through complex transactions and regulatory frameworks. This position promises a dynamic work environment with extensive interaction with both domestic and international clients, providing ample opportunities for professional growth and development.

Essential Duties and Responsibilities:
- Lead and manage a variety of corporate transactions including mergers, acquisitions, divestitures, corporate restructuring, and joint ventures.
- Advise clients on securities matters including public offerings, private placements, and compliance issues under the Securities Act of 1933 and Securities Exchange Act of 1934.
- Negotiate and draft transactional documents and lead transaction closing procedures.
- Conduct due diligence reviews and coordinate with other advisors and specialists to ensure comprehensive coverage of all transaction implications.
- Stay updated on regulatory changes and best practices in corporate law, securities, and finance, and communicate these developments effectively to clients and team members.
- Participate in business development activities including seminars, conferences, and client presentations to drive firm growth and personal development.
Minimum Position Qualifications:
- 6+ years of experience in corporate law focusing on M&A, securities, and finance.
- Strong academic credentials from a reputed law school.
- Licensed to practice law in New York or another major jurisdiction.
- Excellent oral and written communication skills.
- Demonstrated ability to handle complex negotiations and transactions.
- Proven track record of developing client relationships and managing large deals.
Preferred Qualifications:
- Experience in cross-border transactions is highly valuable.
- Previous employment in top law firms or in a corporate legal department.
- Additional certifications or qualifications in business, finance, or related fields.
- Familiarity with tax implications in corporate transactions.
- Leadership experience, including managing junior attorneys and paralegals.
- Commitment to continuing education and professional development.
