Duties:
- Ensure public company compliance with reporting requirements, including SEC filings and disclosure.
- Oversee Nasdaq/NYSE compliance and address daily regulatory issues for public companies.
- Represent clients in capital markets transactions, such as:
- Initial Public Offerings (IPOs)
- Equity and debt offerings
- Private investments in public entities (PIPEs)
- At-the-market offerings
- Provide legal support to clients in the technology and life sciences industries.
Requirements:
- Extensive experience in public company compliance, governance, and SEC regulations.
- Demonstrated expertise in capital markets transactions with issuers and investment banks.
- Familiarity with Nasdaq/NYSE compliance standards.
- Background in the technology and/or life sciences sectors is beneficial.
Education:
- Juris Doctor (JD) degree from an accredited law school.
Certifications:
- Active bar membership in good standing in the relevant jurisdiction(s).
