Job Overview:
A prestigious law firm located in Portland, OR, is seeking a Global Equity Compensation and Employment Associate Attorney with 3-5 years of experience to join its Global Employment, Equity Compensation, and Immigration practice. The successful candidate will work closely with a dynamic team that focuses on providing comprehensive legal counsel on a wide array of equity compensation and employment issues for both multinational corporations and emerging companies. Duties:
- Counsel clients on a variety of equity compensation and employment issues, including:
- Implementation and compliance for stock option (SO), restricted stock unit (RSU), and employee stock purchase plan (ESPP) programs.
- Guidance on securities and foreign exchange filings related to SO, RSU, and ESPP programs.
- Addressing matters such as leaves of absence, accommodations, return-to-office protocols, independent contractor classifications, and employment agreements.
- Prepare multi-country analyses and draft employment and compensation-related documents and agreements.
- Manage global teams on various projects and conduct multijurisdictional research.
- Assist in preparing and delivering analyses and research to clients in both written and meeting formats.
- Contribute to the development of employment agreements, handbooks, bonus and commission plans, and equity compensation considerations in global M&A transactions.
- Focus primarily on the fast-growth and technology company sectors.
Requirements:
- 3-5 years of experience in employee equity compensation or employment counseling, with a strong preference for cross-border experience.
- Must be a member in good standing with the Oregon State Bar.
- Strong academic credentials and exceptional verbal, written, and interpersonal skills are essential.
- Direct experience with the responsibilities outlined in this job description is highly valued.
Education:
- Juris Doctor (JD) from an accredited law school.
Certifications:
- Admission to the Oregon State Bar is required.
