Zendesk Legal is looking for an experienced Senior Counsel to join its growing world-class legal team to facilitate growth and mitigate risk at Zendesk through support of the corporate function. You will have the opportunity to make a lasting impact on an active strategic transactions program at a high-growth, private equity-backed company.

This role reports to the Director, Corporate and Securities, who leads governance, securities, and strategic transactions for the company. The position is remote eligible.

What you'll be doing

  • Lead the M&A function for the legal team.
  • Foster growth and expansion through acquisitions by developing strategy and structuring for critical strategic transactions and negotiating alongside Corporate Development on behalf of the business.
  • Manage risk for the business by negotiating principal deal related documents.
  • Realize efficiencies through leading outside counsel and cross-functional diligence teams.
  • Advise business leaders on legal and strategic risks and propose business-oriented solutions.
  • Work with integrations counsel, the Integrations Management Office, and cross-functional teams to develop realistic and healthy integration plans, and support other post-closing matters.
  • Assist the Corporate Legal team on various other corporate matters, including entity management, investor relations, corporate governance, and securities regulations.
  • Own other special projects/processes as necessary and/or desired.

What you bring to the role

  • 7+ years combined corporate and M&A experience at a law firm and in-house corporate legal department.
  • Juris Doctor degree from an accredited law school.
  • US state bar active member in good standing.
  • Expertise in the M&A process from beginning to post-closing issues.
  • Comprehensive understanding of the key strategic risks and opportunities of tech M&A.
  • Mastery of key negotiation points and market positions for the tech industry.

  • Ability to uphold the highest standards of discretion and confidentiality.
