Job Title: Corporate Attorney
Location: Century City office (Los Angeles, CA)
Responsibilities:
- Lead and supervise the legal representation of clients in complex areas of domestic and international corporate law.
- Assume significant responsibility for deal management and leadership of multiple projects.
- Provide legal advice and counsel to national and global entities regarding cross-border transactions (valued $10 million to $1+ billion), including complex mergers and acquisitions (M&A), venture capital/private equity sponsored investments, and other corporate finance transactions.
- Devote time to business development efforts and cultivate/manage client relationships.
- Develop substantive legal solutions to satisfy client's business objectives.
- Advise on a wide range of legal issues and business considerations relating to U.S. and international transactions.
- Conduct research and draft corporate documents, legal memoranda, and opinion letters for investment and private equity and venture capital financings and closings.
- Advise clients on California’s Corporations Code and Delaware’s General Corporation Law (DGCL) and corporate governance matters.
- Lead due diligence workstream, coordinate review of diligence materials, and prepare diligence memoranda.
- Draft and negotiate purchase, merger, and ancillary agreements.
- Prepare and deliver oral presentations that effectively communicate complex information to different audiences.
- Assemble and direct a team of junior and midlevel associates and paralegals.
Time Allocation:
- 30% Deal/project management and document drafting;
- 20% Client relations and counsel;
- 20% Team leadership/supervision;
- 10% Structure and negotiate deals;
- 10% Research, analysis, and writing;
- 10% Other - e.g., pro bono advocacy, recruiting, business development.
Salary: The salary range in Century City for this role is $370,000 - $415,000. Actual compensation will depend on experience, qualifications, and location.
Minimum Requirements:
- Juris Doctorate (JD) from an ABA accredited law school.
- Five years as an associate, attorney, counsel, or law clerk.
- Two years as a licensed attorney/associate with a multinational law firm representing national and global entities in cross-border transactions, M&A, and finance transactions valued at $5+ million.
- Experience leading due diligence work streams for M&A and finance transactions.
- Advising clients on Delaware's General Corporation Law (DGCL) and corporate governance matters.
- Must be licensed to practice law in California.
Travel: Based on client needs, incidental domestic and/or international travel of up to 10% may be required.
