Are you ready to shift into the next gear of your career? As an In-House Legal Counsel within Inalfa, you are in the driver’s seat for managing and overseeing all legal matters within the North American business. This role involves providing strategic legal advice to senior management, ensuring compliance with applicable laws and regulations, drafting and reviewing legal documents, managing litigation, and mitigating legal risks associated with the company's operations.

ESSENTIAL DUTIES AND RESPONSIBILITIES

Occupational Specific Tasks: include the following. Other duties may be assigned.

Legal Advisory:

  • Provide legal advice and guidance on a wide range of matters, including corporate governance, regulatory compliance, intellectual property, labor and employment, contracts, mergers and acquisitions, and litigation.
  • Advise senior management and other stakeholders on legal risks and strategies to mitigate them.
  • Interpret and ensure compliance with laws, regulations, and policies applicable to the company’s operations.

Contract Management:

  • Draft, review, and negotiate a variety of contracts and agreements, including but not limited to commercial contracts, vendor agreements, non-disclosure agreements, and licensing agreements.
  • Develop and maintain standard contract templates and ensure consistency in contractual terms.

Risk Management and Compliance:

  • Identify potential legal risks and implement strategies to mitigate them.
  • Oversee the development and implementation of company policies and procedures to ensure compliance with applicable laws and regulations.
  • Manage and respond to regulatory inquiries and audits.

Litigation Management:

  • Manage and oversee all aspects of litigation and dispute resolution, including working with external counsel.
  • Evaluate legal claims and recommend strategies for resolving disputes.
  • Represent the company in legal proceedings, if required.

Corporate Governance:

  • Assist with corporate governance matters, including board meetings, minutes, and shareholder communications.
  • Ensure compliance with corporate formalities and regulatory requirements.

Training and Education:

  • Develop and deliver training programs on legal and compliance issues to employees and management.
  • Stay updated on relevant legal developments and disseminate information to key stakeholders.

QUALIFICATIONS & EXPERIENCE

  • Six to ten years of experience as a practicing attorney, with a strong preference for prior in-house legal experience.
  • Expertise in corporate law, contract law, compliance, and litigation management.
  • Strong analytical and problem-solving skills.
  • Excellent communication and interpersonal skills, with the ability to interact effectively with all levels of the organization.
  • Ability to work independently and manage multiple projects simultaneously in a fast-paced environment.
  • Experience in the automotive and/or manufacturing industry is preferred but not required.

EDUCATION

Juris Doctor (JD) degree from an accredited law school. Admission to the Michigan state bar is preferred but not required.
