Key Responsibilities:
- Provide legal counsel on mergers, acquisitions, dispositions, joint ventures, and other strategic transactions for clients, including private equity firms and public/private companies.
- Draft, review, and negotiate key transaction documents such as purchase agreements, shareholder agreements, and investment agreements.
- Lead and coordinate due diligence processes, including identifying and assessing risks, and advising clients on potential implications.
- Work closely with other legal teams, including tax, finance, and regulatory experts, to ensure successful deal execution.
- Advise clients on deal structuring, risk management, and transaction strategy to achieve optimal outcomes.
- Assist with post-closing matters, including integration planning and execution.
- Serve as the primary contact for client communications, managing expectations and providing timely updates.
- Maintain awareness of relevant legal and regulatory changes that may impact M&A and private equity transactions.
- Contribute to the firm’s business development efforts through client meetings, thought leadership, and networking activities.
- Mentor and train junior associates, providing guidance and support for their professional development.
Requirements:
- 4-6 years of law firm experience in mergers and acquisitions, with additional experience in private equity transactions being highly desirable.
- Proven ability to manage complex M&A deals from inception to closing.
- Strong understanding of corporate governance, securities laws, and regulatory compliance relevant to M&A transactions.
- Excellent drafting, negotiation, and analytical skills, with the ability to produce high-quality work under tight deadlines.
- Superior communication skills, including the ability to explain complex legal concepts to clients and colleagues clearly.
- Ability to thrive in a fast-paced environment, managing multiple priorities with a high degree of organization and attention to detail.
- Exceptional client relationship skills, with a focus on delivering practical and business-oriented solutions.
- Active membership in good standing with the California State Bar (or eligibility for admission).
Education and Certifications:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the California State Bar is required.
