Minimum Requirements

• Six to eight years of experience practicing as a real estate transactional attorney with affordable housing experience (i.e., low-income housing tax credits (LIHTC), historic tax credits (HTC), federal and state affordable housing financing programs, and deal structuring).

• Substantial experience with most or all of the following: affordable housing and community development law, tax credit (LIHTC and HTC) financings, real estate, HUD matters (i.e., Section 8, FHA financing, and RAD), and general corporate matters.

• Doctor of Law (J.D.) from an accredited law school.

• Bar admission in the Commonwealth of Massachusetts or willing to become licensed in the Commonwealth of Massachusetts as an in-house counsel.

• Strong team player and team orientation with a collaborative work style and the ability to build consensus and drive for results.

• Hands-on, customer service-oriented attorney with a roll-up-your-sleeves mentality.

• Confident professional capable of developing a trusted advisor relationship with his/her internal stakeholders.

• Thoughtful problem solver, open and direct communicator, and accountable.

• Strong analytical skills for legal issues, business risk, and deal economics.

Description

Position Overview

The Associate General Counsel will report to and assist the General Counsel by providing practical, commercial legal advice as it relates to Beacon’s real estate acquisition, development, and financing activities. In addition, the Associate General Counsel will help supervise outside counsel and provide general corporate legal services.

The Associate General Counsel will have significant exposure to business leaders at Beacon and will work closely with other legal department colleagues, senior leaders, and business executives in a collaborative, results-oriented, nimble, entrepreneurial, and positive business environment.

This position requires a skilled and well-rounded real estate attorney who can support Beacon’s General Counsel on a broad range of real estate matters, and who can also grow into an in-house legal leader with the interest and passion for understanding Beacon’s business and contribute in a meaningful way to its long-term strategic goals. Primary Duties and Responsibilities

• Serve as primary legal support for the real estate development group in all legal aspects of the structuring, acquisition, development, refinancing, and closing of complex affordable housing and mixed-income projects.

• Provide legal guidance on business transactions, including deal structuring, acquisitions, and negotiations.

• Draft, review, and/or negotiate a broad range of real estate transactional documents, including letters of intent, purchase and sale agreements, joint venture agreements, partnership agreements, commercial loan documents, engagement letters, third-party contracts, non-disclosure agreements, and other documents relevant to Beacon’s business activities.

• Assist with loan negotiations and loan documentation.

• Oversee and work with outside counsel to ensure appropriate deal structures are utilized to achieve long-term commercial and strategic goals.

• Communicate and coordinate matters with other Beacon team members.

• Perform other duties as needed to support Beacon’s business operations.

She brings over 20 years of experience practicing law in the areas of real estate and affordable housing finance and development. Nicole most recently served as General Counsel for Rhode Island Housing and Mortgage Finance Corporation, an independent, quasi-public corporation and housing finance agency. She previously held positions at Klein Hornig LLP and Holland & Knight LLP, both Boston-based law firms specializing in affordable housing and community development, and served as law clerk to the Honorable Joseph F. Rodgers, Jr., Presiding Judge of the Rhode Island Superior Court. Nicole holds an undergraduate degree from Brown University and earned her Juris Doctor from the Duke University School of Law.
