The Impact You'll Make in this Role
This Sr. Director, M&A Finance will support the Senior Vice President, M&A Finance in finance-specific workstreams related to Merger & Acquisitions, and will partner closely with the Chief Strat and Corp. Dev. Officer's organization. As a Sr. Director, M&A Finance you will have the opportunity to tap into your curiosity and collaborate with some of the most innovative and diverse people around the world.
Here, you will make an impact by:
Partner with SVP, M&A Finance and Chief Strat and Corp. Dev Officer on search, evaluation, diligence, negotiation, and execution of deals
Lead deal model compilation, forecasting, and valuation efforts, including Solventum pro forma modeling
Ensure connectivity and triangulation between deal model, internal forecasts, and overall valuation
Cross-functional collaboration with various stakeholders to understand financial and deal value ramifications
Lead M&A due diligence activities for finance:
Data room population and reviews
Coordination of financial diligence calls and related preparation, including agendas
Manage finance deliverables and milestones within the broader deal timeline
Support negotiations and purchase agreement drafting
Coordinate with M&A advisors (e.g., financial due diligence firms)
Create M&A playbook specific to finance, outlining approach to buy and sell-side financial diligence
Standardize templates for deal model forecasting and valuation
Standardize templates for due diligence requests and management agendas
Partner with Investment Bankers to understand marketplace M&A trends, specifically valuations, and maintain a database of recent transaction precedents
Your Skills and Expertise
To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:
Bachelor's degree or higher from an accredited university and 10 years of Finance experience in private, public, government or military environment
5+ years of M&A experience
Strong command of financial modeling; ability to build clean, dynamic excel models and present outcomes in an executive summary format
Additional qualifications that could help you succeed even further in this role include:
A master's degree in finance or business from an accredited institution
CMA, CPA, or CFA certification
A background in investment banking or advisory or consulting services, including big 4
Ability to "think outside the box" and embraced continuous change.

Applicable to US Applicants Only:The expected compensation range for this position is $222,044 - $271,387, which includes base pay plus variable incentive pay, if eligible. This range represents a good faith estimate for this position. The specific compensation offered to a candidate may vary based on factors including, but not limited to, the candidate's relevant knowledge, training, skills, work location, and/or experience.
