Amazing career opportunity help shape a legal department: a newly public company is hiring its second lawyer. This person will be the go-to for corporate and securities. The company also enjoys heavy M&A activity.


RESPONSIBILITIES

  • Serve as the company’s primary advisor and counsel on corporate/securities matters.
  • Provide legal advice regarding SEC and Nasdaq reporting and compliance, including the preparation and review of quarterly, annual, and current reports, Section 16 filings, and proxy statements.
  • Provide securities law advice and compliance guidance for press releases, earnings releases, and investor presentations, sustainability reporting, and other communications.
  • Provide legal advice and counseling with respect to equity-based compensation plans, executive compensation matters and Section 16 reporting.
  • Assisting with the preparation and planning for the annual shareholder meeting and shareholder engagements.
  • Assist with general corporate matters, including entity management, corporate governance, preparation of materials for the Board of Directors and its committees, and management of board portal software.
  • Draft, review and negotiate transaction documents.
  • Support strategic initiatives as needed, including legal due diligence for potential transactions, mergers, acquisitions, and other business activities to assess legal risks and support decision-making processes.
  • Draft, review and negotiate a variety of agreements related to the company’s operations.


EDUCATION, EXPERIENCE & SKILLS

  • At least 5 years’ professional experience as a practicing attorney, with a preference for at least 1 year in-house at a public company.
  • Strong experience advising on reporting and disclosure requirements under SEC and Nasdaq rules and working cross-functionally to draft and review all periodic SEC reports and other SEC-related forms and filings.
  • Strong understanding of corporate governance matters.
  • M&A and other corporate transactions experience.
  • J.D. from an accredited law school
  • Bar admission in good standing
