This position is responsible for handling corporate matters for the organization and may include both litigation and/or contract matters. In addition, this position will work with leadership to address and resolve any legal matters arising out of the organization’s operation ensuring organizational operations and practices are in compliance with applicable laws and regulations at all times and recommend changes to organizational policies or procedures with the goal of minimizing risk.

Location and Travel

  • This role can be remote from anywhere in the US.
  • Occasional business travel may be required.

You will...

  • Proactively identify, analyze, and mitigate legal organizational risks.
  • Provide legal support on business transactions, initiatives, and projects, and, if possessing applicable experience, SEC reporting and disclosure requirements.
  • Support strategy for, manage, and provide advice to senior leadership and the business on corporate legal matters.
  • Conduct legal research, interpret law, and determine the applicability of new laws.
  • Assist with quarterly reporting to Finance and Accounting teams, management, and external auditors.
  • Lead and manage the activities of outside counsel and coordinate internal efforts to meet corporate legal requirements and strategy.
  • Drive change and execute on any lessons learned and best practices.
  • Provide timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients.
  • Assist with budgeting and forecasting for corporate legal matters.
  • Responsible for the following focus area:
    • Contracts
      • Contracts focus on commercial contract development and review, state regulatory filings, managing outside counsel, and, if possessing applicable experience, SEC reporting and disclosure requirements.
      • Develop and review contracts and assist in a wide variety of contract negotiations and disputes with customers, vendors, and partners, including, but not limited to agreements with payor clients, master service agreements, software licenses, transportation agreements, customer agreements, and non-disclosure agreements.
      • Maintain engagement and collaboration with internal and external stakeholders during contracting process.
      • Support the Legal Department's contract management and administration process.
    • Support the following focus area:
      • Litigation
        • Oversee and conduct pre-litigation investigations, manage outside counsel, and work with corporate and sector leadership to resolve matters.
        • Hands-on approach to all facets of litigation, including responding to subpoenas and discovery requests, fact-finding and analysis, reviewing, drafting and revising legal filings and other litigation-related documents, interviewing witnesses, preparing witnesses for testimony, and negotiating and drafting settlement documents.
        • Interact with outside counsel, develop and enforce strategies and budgets for each matter that most effectively and efficiently meet the goals set for each matter.
    • May lead projects and perform other duties as assigned.

    We are excited to speak to someone with the following...

    • A Juris Doctorate degree from an accredited law school is required.
    • Active license to practice law in the jurisdictions the organization operates.
    • Five (5) plus years of relevant, broad-based corporate legal experience gained in an in-house legal department or law firm required.
    • Or equivalent combination of education and/or experience.
    • Exhibit a high degree of professionalism, trustworthiness and handle highly confidential information with integrity using sound judgment.
    • Highly organized, detail oriented, proactive, efficient and resourceful with exceptional follow-through skills.
    • High level of business and commercial acumen.
    • Ability to build strong relationships internally and externally through collaboration.
    • Ability to prioritize and handle numerous competing demands in a high volume and fast-paced environment.
    • Demonstrated ability to independently move projects forward by gaining support needed from stakeholders across the company and working in a cross-functional role.
    • Excellent communication (written and verbal) and interpersonal skills.
    • Ability to operate autonomously while being a collaborative team player.
    • Demonstrated ability to be proactive, exercise independent judgment, and manage multiple projects simultaneously.
    • Highly proficient in Microsoft Office applications (Word, Excel, PowerPoint and Visio), Adobe Acrobat and Smartsheet and Google applications (Gmail, Drive, Docs, Sheets and Notes), as well as the ability to learn and use proprietary computer systems and databases.

    Salary Range

    $111,000.00 - $149,900.00 Annually
